The signatory is a natural person. Under Law No. 5070, the secure e-signature identifies the individual certificate holder; it does not create a separate corporate identity or, by itself, prove that the person has authority to bind a company. Corporate representation must still come from the company’s current representation rules, registry records and any required joint-signature arrangement.
Law No. 5070 distinguishes a secure electronic signature from a simple electronic mark. A secure electronic signature is based on a qualified electronic certificate and must meet the statutory security conditions for identity, sole control and detection of later changes to the signed data.
