A remote consultancy, software company, agency or other light-presence service business may be able to use a virtual address as its registered headquarters. Quick Answer: When Can an LLC Use a Virtual Office?

The useful test is not “Is a virtual office legal?” It is: can this LLC document its right to use the exact address, and does that premises model make sense for the activity it actually carries out?

An LLC can use a virtual or serviced address when the registered premises, right-to-use evidence and business activity are compatible.

What the LLC Actually Needs From Its Registered Headquarters

A Turkish LLC needs a registered headquarters address. For MERSİS-based formation and address-change procedures, the Ministry of Trade’s MERSİS system operates with official address data, so the headquarters must be an identifiable location rather than a free-form mailing label.

The word virtual is not the legal test. A virtual or serviced-office arrangement can support the registered headquarters when the company has a genuine right to use the exact premises and the arrangement is compatible with the LLC’s activity.

The right-to-use file is case-specific

Do not treat a document called Taahhütname, a notarised declaration or any single provider document as universally decisive for every LLC. The appropriate evidence depends on the premises arrangement and the transaction.

Depending on the setup, the address file can include a lease, serviced-office or address-use agreement together with provider-side ownership, leasehold or authority evidence. The important outcome is that the file can establish:

• Exact premises: the address and unit match the headquarters used in the official company file.
• Provider/owner authority: the person granting the use can substantiate the right to do so.

• Customers routinely visit the premises.

• The company’s actual operations would be difficult to reconcile with an address-only administrative setup.

How to Check LLC Suitability Before Signing

1. Define the activity precisely. Start with what the LLC will actually do, where staff will work, where customers will be served and where stock/equipment will be kept.
2. Identify premises-linked requirements. Check whether the activity requires a specific licence, municipal approval, storage/production site or another operating location.
3. Review the exact address. Confirm the building/unit and that it is an identifiable official address suitable for the intended company file.
4. Review the right-to-use documents. Ask what agreement and provider-side evidence support the LLC’s use of the premises.
5. Define mail and authority handling. Know how official correspondence is logged and what happens if the tax administration requests information or attends the premises.
6. Keep the company file consistent. Use the same registered-headquarters information across the applicable MERSİS/Trade Registry and tax records.

Provider questions that matter for an LLC

• What exact agreement gives the LLC the right to use this premises as its registered headquarters?
• Which provider-side premises documents are available for this arrangement?
• Has the provider handled companies with a similar activity model?
• How are official notices logged, scanned, stored or forwarded under the contract?
• Who is the premises-side contact if the tax administration requests information or attends the address?
• What happens to the registered-address service if the agreement ends or the provider changes premises?

Formation, Yoklama and Banking Are Separate Stages

After taxpayer status is established, the tax administration may carry out yoklama. Current GİB guidance states that commencement-of-business yoklama is to be concluded within a maximum 15-day administrative period after taxpayer status is established.
