Before submitting a company-formation file in Türkiye, check that every agreed decision is supported by consistent evidence. The shareholder identities, legal form, activity, managers and signing rules, registered address, capital and foreign-document route must match across the source records, Turkish translations, powers of attorney and draft application. An agreed plan is not yet a filing-ready file.
Use this checklist when you are gathering and checking the documents for submission. If the structure, ownership or operating plan is still undecided, first use the pre-incorporation planning guide. Submission rule: A checklist item is complete when the evidence matches the agreed plan, not merely when a document with the expected name has been collected. This is a practical review framework, not a universal statutory document list.

A strong company setup begins with ownership, activity, address and authority decisions before paperwork is ordered.
Start with the agreed shareholder list and check it against the source records and draft articles. An individual shareholder and a foreign corporate shareholder require different evidence; a passport does not substitute for the records establishing a corporate shareholder’s identity and authority. Check names, identifying details and the intended ownership percentages together rather than reviewing each document in isolation.
The file generally starts with identity/passport information, Turkish tax-number steps where required, address information and a power of attorney if the founder will not complete the process personally.
The Turkish file normally needs evidence showing that the foreign company exists, remains active, who can legally bind it, who approved the Turkish investment and who is authorised to act for the new Turkish company. The exact home-country documents depend on the jurisdiction and corporate structure.

Use the selected legal form consistently in the draft articles, shareholder approvals and representation documents. Check that the total subscribed capital, each shareholder’s contribution and the ownership percentages reconcile. Keep any payment evidence required for the chosen structure with the file; do not assume that an LLC and a JSC follow the same payment sequence.
Pause submission if the structure is still undecided, a corporate resolution approves a different investment or the capital schedule does not agree with the draft articles. Resolve the underlying decision before producing another version of the documents.

Compare the draft company purpose with the founder’s description of what will actually be sold or delivered. Record unresolved questions about licences, products, premises, import/export or regulated professional work instead of hiding them behind a generic activity description.
Pause submission when the document preparer and the founder describe different business models, or when an unresolved activity requirement could change the structure or premises. Use the business licence and permit guide to identify the separate approval questions.
Check the agreed managers or directors, individual or joint representation and appointment evidence against the draft articles and any corporate resolutions. The person signing each document should have authority for that particular act. Ownership evidence, management appointments and a power of attorney perform different roles; one should not be assumed to replace the others.

Check the official address, including the building and unit details, against the right-to-use arrangement and the draft company file. Confirm which party provides the premises evidence and who will respond to an address-related document request. Do not substitute a founder’s residential address, a mailing label or a meeting-room booking for the agreed company-headquarters documentation.
Pause submission if the address differs between records or the right-to-use basis is unclear. Use the registered-address document checklist for the evidence file. If the premises model itself remains undecided, return to the registered business address comparison.

Match each required fact to the source record that proves it, then check the authentication, Turkish translation and original-document requirements for that record. Confirm that names, dates, signatories and authority remain consistent across the versions. Collecting a document called a certificate or resolution is not enough if it does not establish the fact needed for the Turkish filing.

Trade Registry registration is legal incorporation, not automatic operational readiness. Before submitting the file, identify who will receive the final company records and which separate workstreams remain open. This avoids a complete registry file becoming an incomplete banking, tax or operating file.
